1. INTRODUCTION & ACCEPTANCE

These Wholesale Terms & Conditions (“Terms”) govern all wholesale purchases, resale, and distribution of products sold by Go Natural 247, LLC (“Company,” “we,” “us,” or “our”).

By submitting a wholesale application, creating a wholesale account, placing an order, or reselling products, you (“Reseller,” “Wholesale Customer,” or “you”) acknowledge that you have read, understood, and agree to be bound by this document in its entirety.

2. ELIGIBILITY & ACCOUNT APPROVAL

Wholesale accounts are available only to qualified businesses purchasing products for resale or professional use. Approval is granted at the Company’s sole discretion.

The Company reserves the right to refuse, suspend, or terminate any wholesale account at any time, with or without notice, for violation of these Terms or associated policies.

3. CONFIDENTIAL WHOLESALE PRICING

Wholesale pricing is confidential and intended solely for approved resellers. Disclosure of wholesale pricing to any third party is strictly prohibited.

Prices are subject to change without notice.

4. PRICING & MINIMUM ORDER POLICY (MOQ)

Minimum Order Requirements

Opening Order Minimum: $200.00 USD

Minimums apply before shipping, taxes, discounts, or platform credits.

Additional Conditions

Certain products may require case pack quantities or unit multiples.
Mix-and-match ordering is permitted unless otherwise stated.
Orders not meeting minimum requirements may be delayed, adjusted, or canceled.

5. ORDERING & PAYMENT TERMS

Orders may be placed through approved wholesale channels including Shopify B2B, Faire, or other authorized B2B platforms.

Payment is required in advance unless Net Terms have been expressly approved in writing. Late or unpaid balances may result in order holds or account suspension.

6. SHIPPING, TITLE & RISK OF LOSS

Shipping costs and delivery estimates are provided at checkout or invoice. Title and risk of loss transfer to the reseller upon shipment.

International resellers are responsible for all duties, VAT, customs fees, and import compliance.

7. RETURNS, DAMAGES & DEFECTS

All wholesale sales are final sale.

Damaged or defective items must be reported within 5 business days of receipt and must include photos and order details. Approved claims may result in replacement or credit at the Company’s discretion.

8. AUTHORIZED SALES CHANNELS

Resellers are authorized to sell products only through:

Their own branded company website
Their own physical brick-and-mortar retail location(s)

Sales through third-party marketplaces, social commerce platforms, or auction sites are prohibited without prior written authorization, including but not limited to:

Amazon, eBay, Etsy, Walmart Marketplace, TikTok Shop, Facebook Marketplace, Instagram Shops, or similar platforms.

Unauthorized sales may result in immediate termination.

9. ONLINE & DIGITAL SALES REQUIREMENTS

Authorized online sales must:

Use accurate, approved product descriptions
Maintain original packaging and labeling
Avoid false, misleading, or unapproved claims
Comply with all regulatory requirements
Adhere to the MAP Policy (if applicable)

10. MINIMUM ADVERTISED PRICE (MAP) POLICY

(Applies where legally permitted)

Purpose

To protect brand integrity and promote fair competition.

Policy

Resellers may not advertise products below the established MAP price in any public-facing medium, including websites, email marketing, social media, and digital advertising.

MAP applies to advertised prices only, not final resale prices or in-store pricing.

Unauthorized Channels

Advertising or selling on unauthorized platforms constitutes a MAP violation regardless of price.

Enforcement

Violations may result in:

Written warning
Temporary suspension
Termination of wholesale account

11. BRANDING, INTELLECTUAL PROPERTY & IMAGE USAGE

All trademarks, logos, product images, and marketing materials are the exclusive property of Go Natural 247, LLC.

Permitted Use

Resellers may use Company-provided assets solely for marketing authorized products.

Prohibited Use

Resellers may not:

Alter packaging or labels
Add unapproved claims to images
Use assets on unauthorized platforms
Share assets with third parties

Image usage rights may be revoked at any time.

12. AUTHORIZED RESELLER AGREEMENT (SUMMARY)

By agreeing to these Terms, the reseller acknowledges and agrees that:

Products are purchased solely for resale.
Sales are limited to authorized channels only.
MAP, branding, and compliance rules will be followed.
Regulatory obligations in the reseller’s jurisdiction are the reseller’s responsibility.

A downloadable and signable Authorized Reseller Agreement PDF may be required for account approval or continued access.

13. REGULATORY & COMPLIANCE DISCLAIMERS

Cosmetics – US, EU & UK

Products comply with applicable cosmetic regulations.
Resellers may not alter ingredients, labels, or claims.
Medical or drug claims are strictly prohibited.

Dietary Supplements (DSHEA – U.S.)

Applicable to Crave Nutrients products.

Supplements are regulated under the Dietary Supplement Health and Education Act of 1994 (DSHEA).
Products are not evaluated by the FDA unless stated.
No claims may be made to diagnose, treat, cure, or prevent disease.
Only Company-approved structure/function claims may be used and must include the required FDA disclaimer.

EU & UK Supplements

Resellers must comply with EFSA and UK-approved health claims. Unapproved health or medicinal claims are prohibited.

14. COMPLIANCE WITH LAWS

Resellers are responsible for complying with all applicable laws and regulations in their jurisdiction, including advertising, labeling, tax, import/export, and consumer protection laws.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages arising from wholesale transactions or resale.

16. TERMINATION

The Company reserves the right to suspend or terminate wholesale accounts for violations of these Terms. Outstanding balances remain payable upon termination.

17. GOVERNING LAW

These Terms are governed by the laws applicable to the Company’s principal place of business, without limiting mandatory consumer protections under EU or UK law.

18. ACCEPTANCE

By submitting a wholesale application, creating an account, placing an order, or reselling products, you confirm that you have read, understood, and agree to these Wholesale Terms & Conditions, Pricing & MOQ Policy, MAP Policy, Authorized Reseller Agreement, and Regulatory & Compliance Disclaimers.
